These Terms of Service ("Terms") constitute a legally binding agreement between you and Nanosync Inc. ("Nanosync", "we", "us"), a corporation incorporated in the State of Delaware, United States, governing your access to and use of the nanosync.dev website and any associated services (collectively, the "Service").
By accessing the website or submitting an early access request, you agree to these Terms. If you do not agree, do not use the Service.
2. Pre-launch status
Nanosync is currently in pre-launch. No production software is available for download or use at this time. Submitting an early access request does not create a contract for services, guarantee access, or imply any commitment from Nanosync regarding timelines, features, or pricing. We reserve the right to modify, delay, or discontinue the Service at any time without liability.

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

All content on the Nanosync website — including text, graphics, logos, product names, code examples, and documentation — is the property of Nanosync Inc. or its licensors and is protected by United States copyright, trademark, and other intellectual property laws, as well as applicable international treaties.
Nothing in these Terms grants you any licence to use Nanosync's intellectual property except as expressly permitted in writing. You may share links to the website and quote brief excerpts for commentary, criticism, or news reporting, provided you attribute Nanosync.

7. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION. NANOSYNC DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT OPERATION OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NANOSYNC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF NANOSYNC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100.00).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Nanosync and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

The website may contain links to third-party websites or services (e.g. GitHub, documentation platforms). These are provided for convenience only. Nanosync has no control over and accepts no responsibility for the content, privacy practices, or availability of any third-party site. Accessing third-party sites is at your own risk.

We reserve the right to modify or discontinue the Service (or any part of it) at any time without notice. We may also update these Terms from time to time. We will indicate the date of the most recent update above. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
12. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you irrevocably consent to the personal jurisdiction of those courts.
For disputes under USD $10,000, either party may elect binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You waive any right to bring claims as a class action or class-wide arbitration.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
14. Entire agreement
These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Nanosync with respect to the Service and supersede all prior or contemporaneous communications, whether electronic, oral, or written.
